Live Bid Closing begins Wednesday, March 12th from 12:00 pm – 1:00 pm MDT at the Garden County Courthouse in Oshkosh, NE. Bids may be placed online, or an Agri Affiliates, Inc. agent can place bids on your behalf via phone or in-person at the Live Bid Closing location on March 12th. You must be pre-registered. The auction will employ a "soft close".
Soft Closing Definition: Starting 5 minutes before the scheduled closing time (1:00 pm MDT), when a bid is placed the auction will be extended for an additional 5 minutes. The auction will remain open as long as new bids are placed withing the 5-minute extension period. The auction will definitively close when 5 minutes have passed without any new bids.
TERMS:
This cash sale requires a 15% earnest deposit at signing of the Purchase Agreement immediately following the Auction. Online buyer must wire 15% earnest deposit within 24 hours of completion of the auction. The balance of the purchase price is payable in certified funds at Closing, on or before April 10, 2025. There is no contingency for financing. Sellers to convey title by Referee Deed; with Title Insurance evidencing merchantable title. Cost of Title Insurance and an Insured Closing by the Title Company will be shared 50/50 by seller/buyer. Property sells subject to easements, rights-of-way, zoning, and restrictions of record; Free and clear of all liens. The property sells in “as-is” condition. CONSERVATION RESERVE PROPGRAM (CRP) CONTRACT:
The Buyer agrees and acknowledges to comply with all applicable CRP regulations enforced by the USDA Farm Service Agency (FSA) throughout the transfer of ownership process. In the event of non-compliance, the Buyer shall be liable for any resulting penalties, including potential financial penalties from the FSA, loss of future CRP rental payments, and even termination of the CRP contract and refund of past payments. Furthermore, if the Buyer is determined to be ineligible to receive CRP payments under the existing contract, they shall be responsible for any and all restitution of past payments, liquidated damages, penalties, fees, and any other payment demanded by USDA regarding or relating to a violation of the CRP agreement after closing.
CRP payment scheduled to be paid in 2025 shall be prorated between the Buyer and the Seller to date of closing. All subsequent years shall be paid to the Buyer. Buyer will be responsible for completion of the Mid Contract Management, due by September 30th, 2025.
